Terms of Service

1. Acceptance of terms

By accessing or using Gobuxx — whether as a viewer browsing our platform or as a creator applying to have your content featured — you agree to be bound by these Terms of Service and our Privacy Policy.

If you are using Gobuxx on behalf of an organisation, you represent that you have the authority to bind that organisation to these terms.

If you do not agree to these terms, do not use Gobuxx.

2. What Gobuxx is

Gobuxx is a curated linear television platform. We do not host or own video content. Instead, we:

• Embed publicly available YouTube videos using YouTube's official IFrame embed player
• Organise those videos into structured shows and schedule them across themed channels
• Display associated metadata (titles, descriptions, thumbnails, durations) to create a TV guide experience

Gobuxx is not a video hosting platform, a channel platform for individual creators, or a replacement for YouTube. We are a discovery and presentation layer built on top of YouTube content.

Gobuxx is currently in its MVP (minimum viable product) phase. Some features described in these terms — including native content hosting and creator monetisation — are planned for a future, post-MVP version of the platform.

3. Viewer terms

As a viewer of Gobuxx, you agree to:

• Use the platform only for lawful, personal, non-commercial purposes
• Not attempt to circumvent, disable, or interfere with any security feature of the platform
• Not use automated tools, scrapers, bots, or scripts to access or harvest content from Gobuxx
• Not reproduce, redistribute, or commercially exploit any content displayed on Gobuxx without the express consent of the content owner
• Conduct yourself respectfully in the live viewer chat — abusive, hateful, or illegal speech will result in removal

Gobuxx does not require viewer registration. We reserve the right to block access to any IP address or user that violates these terms.

4. Creator terms

This section applies to YouTube creators who apply to have their content featured on Gobuxx.

4.1 Eligibility

To apply as a Gobuxx creator, you must:

• Be the legal owner or an authorised representative of the YouTube channel you are submitting
• Have a YouTube channel with publicly available content that meets our eligibility criteria (see become-a-creator.php)
• Be at least 18 years of age
• Have the legal right to grant the permissions described in Section 6

4.2 Application and verification

Applications are submitted via Google OAuth, which verifies that you are the authenticated owner of the YouTube channel you are connecting. Submitting another creator's channel without their permission is a breach of these terms and may result in legal consequences.

Submitting an application does not guarantee that your content will be featured on Gobuxx. We review all applications and accept content at our sole discretion based on our published eligibility criteria.

4.3 Creator obligations

As a Gobuxx creator, you agree to:

• Ensure that all content on your YouTube channel that you are permitting Gobuxx to use complies with YouTube's Terms of Service, applicable copyright law, and any third-party rights
• Not submit content that is illegal, defamatory, harmful, sexually explicit, or otherwise in violation of YouTube's community guidelines
• Notify us at hello@gobuxx.com if you become aware of any legal claim, copyright dispute, or third-party objection relating to content we are displaying
• Maintain the accuracy of the email address associated with your application

4.4 No account required

Gobuxx does not create a creator account for you in the MVP phase. Your relationship with Gobuxx is governed by these terms and the consent you provide during the application process. Your revocation token (sent by email) is your mechanism to withdraw at any time.

5. Content ownership

Specifically:

• Your videos remain on YouTube and are owned entirely by you. We do not download, re-encode, or store your video files.
• Your show structure — while Gobuxx creates the organisational structure (episode order, show title, scheduling) around your content, this structural layer does not transfer ownership of the underlying content. Any show built around your videos belongs to you, not to Gobuxx.
• Gobuxx channels are the only assets we own. We own the themed channels (e.g. "Gobuxx Comedy", "Gobuxx Documentary") that your shows are scheduled within. We do not own the shows themselves.
• Thumbnails and metadata that we store (titles, descriptions, thumbnails derived from your YouTube content) remain associated with your content and will be deleted upon withdrawal of consent.

Nothing in these terms transfers, assigns, or diminishes your intellectual property rights in any way.

6. Licence grant to Gobuxx

By applying to become a Gobuxx creator and agreeing to our content usage terms, you grant Gobuxx a non-exclusive, royalty-free, worldwide licence to:

• Embed and display your publicly available YouTube videos on the Gobuxx platform using YouTube's official embed player (during the MVP phase)
• Store and display metadata associated with your videos — including titles, descriptions, durations, and thumbnail images — to power the Gobuxx TV guide experience
• Distribute and present your content natively on Gobuxx's own infrastructure when we transition beyond the MVP phase (subject to the same content ownership protections in Section 5)
• Use your channel name, handle, and avatar to identify you as a creator on Gobuxx
• Create structural layers (shows, episode sequences, schedules) around your content for presentation purposes

This licence is:

• Revocable — you may withdraw this licence at any time using the revocation link in your confirmation email or by contacting us at hello@gobuxx.com
• Non-exclusive — you retain the right to publish, license, or distribute your content through any other platform or channel
• Limited to Gobuxx — we may not sublicense your content to third parties without your consent
• Free of charge — Gobuxx does not pay for this licence, and you do not pay Gobuxx for the licence; this is a mutual arrangement benefiting both discovery and distribution

Upon revocation of consent, Gobuxx will remove your content from the platform promptly and this licence will terminate. Revocation does not affect any rights or obligations that arose prior to termination.

7. Revenue share — founding creators

7.1 What this means

• Monetisation does not apply during the MVP phase. In the MVP, Gobuxx generates no revenue from creator content and makes no payments to creators.
• When Gobuxx transitions to its full platform — with native content hosting and monetisation enabled — Founding Creators will receive 80% of all net proceeds attributable to their content.
• "Net proceeds" means revenue received by Gobuxx from their content, after deducting applicable platform infrastructure, payment processing, and distribution costs directly attributable to that content.

7.2 Founding Creator status

Founding Creator status is granted to any creator who successfully submits an application and receives formal acceptance from Gobuxx during the MVP phase. Status is confirmed by email.

Founding Creator status is tied to your YouTube channel ID. It is non-transferable and cannot be assigned to a third party.

7.3 Post-MVP terms

The specific mechanics of monetisation — including payment schedules, eligible revenue types, and reporting — will be governed by a separate Creator Revenue Agreement that we will issue to all Founding Creators before the launch of the full platform. The 80% share is a firm commitment and will be reflected in that agreement.

Gobuxx reserves the right to determine the timing of the MVP-to-full-platform transition at its sole discretion.

7.4 Standard post-launch rate

Creators who join Gobuxx after the MVP phase ends will be subject to the standard revenue share rate applicable at the time of their application. The 80% founding rate is exclusively for MVP-phase applicants.

8. YouTube API and Google terms

Gobuxx uses the YouTube Data API v3 and the YouTube IFrame embed player. By using Gobuxx — and particularly by connecting your Google account as a creator — you also agree to:

• Google Privacy Policy

Gobuxx is not affiliated with, endorsed by, or sponsored by YouTube or Google. Our use of the YouTube API is governed by YouTube's API Terms of Service.

If YouTube changes its embed policies, API terms, or platform restrictions in a way that affects Gobuxx's ability to display content, we will notify affected creators as soon as reasonably practicable. Our commitment to native hosting (Section 6) exists specifically to insulate creators from this dependency.

9. Prohibited conduct

The following are strictly prohibited on Gobuxx:

• Submitting another creator's YouTube channel without their explicit consent
• Using Gobuxx to distribute content that infringes third-party copyright, trademark, or other intellectual property rights
• Attempting to reverse-engineer, decompile, or extract proprietary code or data from the Gobuxx platform
• Using automated tools to scrape, harvest, or index Gobuxx content at scale
• Interfering with platform infrastructure, including denial-of-service attacks or exploiting security vulnerabilities
• Impersonating Gobuxx, another creator, or any other person or entity
• Using the chat feature to post spam, hate speech, illegal content, or personal information of others

Violation of these prohibitions may result in removal from the platform, legal action, or both.

10. Content removal and takedown

10.1 Creator-initiated removal

Creators may withdraw their consent and request removal of their content at any time by using the revocation link in their confirmation email or by emailing hello@gobuxx.com. We will process removal requests within 7 business days.

10.2 Copyright claims

If you believe content displayed on Gobuxx infringes your copyright, please send a written notice to hello@gobuxx.com including:

• Identification of the copyrighted work you believe is being infringed
• Identification of the material on Gobuxx that you believe infringes your work, with sufficient detail for us to locate it
• Your contact information
• A statement that you have a good faith belief that the use is not authorised by the copyright owner, its agent, or the law
• A statement that the information in your notice is accurate, and under penalty of perjury, that you are the copyright owner or authorised to act on their behalf

We will review and respond to all valid copyright notices promptly.

10.3 Gobuxx-initiated removal

Gobuxx reserves the right to remove any content from the platform at any time, without notice, if we determine in our sole discretion that it violates these terms, applicable law, or YouTube's Terms of Service. We will notify affected creators where reasonably practicable.

11. Disclaimer of warranties

To the maximum extent permitted by applicable law, we disclaim all implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Gobuxx is in its MVP phase. The platform may experience downtime, data loss, or feature changes without notice. We are not liable for any consequences arising from the MVP nature of the platform.

12. Limitation of liability

To the maximum extent permitted by applicable law, Gobuxx and its operators, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of profits, data, goodwill, or business opportunities — arising out of or in connection with your use of Gobuxx.

Our total aggregate liability to you for any claim arising out of or relating to these terms or the Gobuxx platform shall not exceed £100 (one hundred pounds sterling) or the equivalent in your local currency.

Some jurisdictions do not allow the exclusion or limitation of certain liabilities. In such cases, our liability is limited to the fullest extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Gobuxx and its operators, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

• Your use of the Gobuxx platform
• Your violation of these Terms of Service
• Your violation of any third-party rights, including intellectual property rights
• Any content you submit or authorise Gobuxx to use that infringes the rights of any third party
• Any claim that your YouTube content — as displayed on Gobuxx — violates applicable law or third-party rights

Gobuxx reserves the right to assume exclusive control of the defence of any matter subject to indemnification by you. In such cases, you agree to cooperate with us in asserting available defences.

14. Governing law

These Terms of Service are governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles.

Any disputes arising out of or in connection with these terms shall first be subject to good faith negotiation. If negotiation fails, disputes shall be submitted to the exclusive jurisdiction of the courts of England and Wales.

Nothing in this section prevents either party from seeking urgent injunctive or interim relief from a court of competent jurisdiction.

15. Changes to these terms

We may update these Terms of Service from time to time to reflect changes to our platform, legal requirements, or business practices. When we make material changes, we will:

• Update the "Last updated" date at the top of this page
• Notify active creators by email at least 14 days before significant changes take effect

Your continued use of Gobuxx after changes are posted constitutes acceptance of the updated terms. If you do not agree to updated terms, you should cease using Gobuxx and, if you are a creator, revoke your consent.

We will never reduce creator revenue share entitlements for Founding Creators unilaterally through a terms update. Any reduction in the 80% founding share would require explicit written consent from affected creators.
